CRM & Marketing Automation Contract

This CRM & Marketing Automation agreement dated as the below date in the “today’s date” form field is between Service Marketing Pros (“We or Service Pros Marketing”), a Texas based company and the client as identified in the above form fields and reference below as (“Client or You or Your or Yourself”) having offices located in the below “Address” form field.

CRM:

You will have full access to the CRM including but not limiting to the below features:

  • Sales pipeline
  • Automation engine
  • Social media posting scheduler
  • Contacts manager
  • Two way communication platform
  • Email newsletter manager
  • Unlimited user accounts
Along with all included CRM features, you will monthly receive:
  • 3,000 monthly emails
  • 1,000 inbound and outbound SMS text messages

Marketing Automation:

Marketing automation will include CRM customization specifically for your business. This will include setting up automation for tasks such as missed call texts, service booking emails, review requests, pipeline management, and other services within the CRM that can be automated.

  • Client appreciation review campaign (email/sms blast requesting a review – Once a year)
  • Google Business Profile optimization
  • Online SEO citations (this helps your website and Google Business Profile ranking)
  • Online chat widget for website
  • Missed called text back automation
  • Automated scheduling and service notifications
  • Email marketing (once a month includes holiday newsletters & promotions)
  • Customer communication portal
  • Online service scheduling
  • Service calendar
  • Online payments
  • Social media posts scheduler
  • 1,000 inbound and outbound SMS text messages
  • 3,000 monthly emails

Fees and Payments:

You will be invoiced for the fee ($300) for the first month of service on the day you receive access to the CRM. Each month thereafter, you will be charged the monthly fee ($300) on the numeric day of the month in which you were first charged. For example, if your first invoice was on the 10th of the month, each subsequent invoices will be sent on the 10th of each month. The service plan includes 1,000 monthly inbound and outbound text messages. Text messages over that amount will be billed at $.0079 each. The service plan includes 3,000 monthly emails. Emails sent over that amount will be billed at $.675 per 1,000 emails.

You will have 14 days to pay your invoice from the time it’s sent. If your invoice is not paid within 14 days, you will receive a late fee of $5 per day until the invoice is paid.

Acceptable forms of payments include: Apple Pay, Visa, Mastercard, American Express, Discover, or Bank ACH payment.

Cancellations:

You may cancel your service any time before the 15th day of each monthly service renewal. At that time, you’ll receive a refund based on the amount of days left in the service period.

Disclaimers:

The goods and services provided by Service Pros Marketing are provided “as is”, without warranty of any kind to you or any third party, including, but not limited to, any express or implied warranties of: 1) Merchantability or merchantability of the computer program; 2) Fitness for a particular purpose, licensee’s purpose or system integration; 3) Effort to achieve purpose; 4) Quality; 5) Accuracy of informational content; 6) Non-infringement; 7) Marketability; 8) Profitability; 9) Suitability; and/or 10) Any type arising from course of performance, course of dealing or usage of trade.

Service Pros Marketing will also not be liable to you or any third party for any loss of profits, loss of use, interruption of business, or any direct, indirect, incidental or consequential damages of any kind whether under this agreement or otherwise, even if Service Pros Marketing was advised of the possibility of damages or was grossly negligent.

Arbitration:

Any dispute concerning the Parties’ duties under this Agreement which the Parties cannot resolve within thirty (30) days shall be directed to binding arbitration administered by, and pursuant to the rules of, the American Arbitration Association (“AAA”) in the County of Collin, in the State of Texas, with all expenses being paid by the party issuing the dispute. Judgment upon any AAA award may be entered in any court having jurisdiction. Any costs incurred in the enforcement of the arbitration award shall be paid by the party against whom enforcement is sought.

If either party (Service Pros Marketing or you) institutes an action to enforce this agreement or any of its terms, the prevailing party shall also be entitled to recover all of its costs, expenses and reasonable attorneys’ fees.
